  2. We offer advisory services to clients, both local and foreign, relating to the setting up and registration of business entities (companies, representative offices, partnerships, co-operative societies, societies and other forms of business organisations) charitable bodies such as NGOS, trusts and foundations) involving, amongst others, preparation and drafting of the requisite constitutive documents and procuring stamping, delivery and registration thereof at the relevant governmental offices.
  3. Our lawyers are well versed in mergers and acquisition (M&A) transactions and corporate re-organisations and restructuring. We have experience in addressing attendant legal issues consequent upon these transactions ranging from undertaking comprehensive due diligence to assess potential risks associated therewith, employment and labour matters, assignment and novation of contracts, preparation of the requisite templates and checklists, negotiation, review and drafting of the resultant agreements such as non-disclosure and confidentiality agreements, asset and share sale agreements and other requisite documentation for the transfer of business undertaking and real properties as well as dealing with the relevant regulatory authorities.

We advise on regulatory, compliance and legislation requirements affecting the establishment and operation of various undertakings (both for profit and not-for-profit organisations) in various sectors of the economy such as licensing, tax obligations, labour, reporting requirements, capital and profit repatriation issues and so forth.
  6. In liaison with company secretaries, we offer company secretarial services relating to the preparation and filing of annual returns, drafting company/board minutes and resolutions, transfer of share forms and others.
  7. Our lawyers also advise client on a variety of tax aspects. We advise on compliance, tax planning and also assist clients in applying for tax rebates, remission and exemption under various statutes. We also represent clients in tax disputes.
