Experience

Representative Transactions
  • Advising a property development company, on the legal structure for acquisition, development and sale of high-end 160 residential apartments in Kilimani area, one of the highly sought-after residential neighbourhoods in Nairobi. Our mandate involved attending public participation meetings with the Project affected persons, the National Environment Management Authority and the County Government.
  • Acted for an investor in a joint venture transaction for development of a high value property. Our mandate involved negotiation, drafting and monitoring of implementation of the Joint Venture Agreement between the Developer and the Land Owner culminating in development of high-end villas and transfer of the Units to the Purchasers.
  • Acted for project owners in negotiating and reviewing terms of Project Finance loan documentation for provision of Senior and Mezzanine debts to finance the costs of construction and operation of a hotel facility in Nairobi in a transaction involving two tier- 1 banks.
  • Acting for a property owner in leasing transactions involving the largest telecommunication operator in East and Central Africa. The process entails undertaking due diligence processes, drafting of the lease documents, payment of stamp duty, and renewal of leases and registration.
  • Undertook transfer of a commercial property and trade undertaking by way of share transfer involving an entity in the hospitality sector.
  • Advising a property development Company in a real estate development comprising 223 residential units entailing crafting of appropriate legal structure for acquisition of the property, guiding the developer in meeting the stringent requirements of public participation exercised during the licensing phase and coordinating the responses and reports from the project experts, culminating in the issuance of sectional property titles for the Units in the project.
