Wilson Gathogo

Wilson Gathogo was admitted to the Kenyan Bar as an Advocate in 2006. He holds an LLB degree from the University of Nairobi and a Diploma in Law from Kenya School of Law. Wilson has a wide experience spanning over 20 years in Civil, Commercial and Corporate Litigation. He has conducted cases at all levels of the Kenyan Court system from surbodinate courts, High Court and the Court of Appeal on a wide range of disputes such as contractual claims, enforcement of bank securities, prosecution and defence of insurance claims (both material and personalinjury claims), winding-up and receivership proceedings, construction disputes, property disputes, labour and employment matters, debt collection, judicial review proceedings, constitution petitions, amongst other disputes. He regularly represents clients in various statutory tribunals.

  • Acted in a civil litigation for a leading property developer in several suits with claims worth in excess of US$ 10 Million involving a Financial Institution.
  • Has been acting for BRITAM General Insurance and Madison Insurance Company, leading insurers in Kenya in the defense and prosecution of various insurance claims running into millions of US dollars.
  • Acted for a Residential Association seeking mandatory orders against the County Government for the enactment of a Local Physical Development under the Physical and Land Use Planning Act No. 13 of 2019. Real Estate and Property Law.
  • Represented developers, including Blooming Vale Limited and Gem Realty Limited, which were undertaking development and
    construction of residential and commercial apartments, whose transaction value was in excess of US$10,000,000.
Banking and Finance
  • Acting for Equity Bank, Kingdom Bank, Rafiki Micro Finance (a subsidiary of SBM Bank), and for the Kenya Ecumenical Church Loan Fund (ECLOF) (a large community-focused non-deposit taking Micro-Finance Institution), where the Firm handles on an ongoing basis work related to perfection of bank securities.
  • Acted for a developer obtaining financing from foreign investors, which transaction involved negotiating terms of engagements and drawing project finance loan documentation for the provision of funds amounting to US$4 million.
Corporate, Commercial, and Real Estate
  • Acting in a sale transaction involving 25% acquisition and disposal of shares in a Construction Company, with a transaction value of US$400,000.00.
  • Acting for acquirers of equity in a Telecommunication Company in a share purchase valued at US$500,000.00 with the assignment including negotiating and preparation of the terms of the share purchase agreement to the eventual lodging of the documents with the Registrar of Companies to affect ownership changes.
  • Undertaken transfer of a commercial property and trade undertaking by way of share transfer involving an entity in the hospitality industry, with the assignment transaction value being in excess of US$5 million.
  • Acted for a Vendor in a transaction with a transaction value of US$4 Million, which involved several Financiers and included discharges structured transaction, hybrid due diligence, and eventual sale.
  • Acted for Developers in the acquisition of Property and structured Joint Venture Agreements.
